A2P Messaging Consent & Compliance Agreement

This A2P Messaging Consent & Compliance Agreement ("Agreement") governs the collection and use of consent for Application-to-Person ("A2P") messaging and related communications delivered using automated technology.

This Agreement is entered into by and between True North Marketing INC d/b/a KLYR MEDIA ("KLYR MEDIA," "we," "us," or "our") and the individual or business providing consent ("You" or "Recipient").

1. PURPOSE

This Agreement is intended to:

• Satisfy carrier, registry, and industry requirements for A2P messaging;
• Establish express written consent under the Telephone Consumer Protection Act ("TCPA") and applicable state laws;
• Define message types, opt-out mechanisms, and responsibility allocation.

This Agreement applies to all SMS, MMS, and similar text-based messages sent using automated systems, platforms, or artificial intelligence.

2. CONSENT TO RECEIVE MESSAGES

By providing your mobile telephone number and affirmatively accepting this Agreement (including by checking a box, submitting a form, or replying with a confirmation keyword), you expressly consent to receive text messages from or on behalf of KLYR MEDIA at the number provided.

Messages may be sent using:

• Automated dialing systems;
• Marketing automation platforms;
• Artificial intelligence or machine-assisted technologies.

Consent is not a condition of purchase.

3. MESSAGE CATEGORIES

Messages you may receive include, without limitation:

• Appointment confirmations and reminders
• Service updates and operational notices
• Account or billing notifications
• Customer support communications
• Marketing, promotional, or informational messages (where applicable)

Message frequency may vary based on interaction, service usage, and preferences.

4. OPT-OUT AND HELP

You may opt out at any time by replying STOP to any message.

Upon opting out:

• You will receive a confirmation message; and
• No further messages will be sent unless you re-opt-in.

5. MESSAGE AND DATA RATES

Standard message and data rates may apply depending on your mobile carrier and plan. KLYR MEDIA is not responsible for carrier charges.

6. CARRIER DISCLOSURE

Mobile carriers are not liable for delayed or undelivered messages. Delivery is subject to carrier availability and network conditions.

7. RECORDKEEPING AND AUDIT RIGHTS

You acknowledge and agree that KLYR MEDIA may:

• Log consent, opt-in source, timestamps, IP address, and message history;
• Retain records as reasonably necessary for compliance, audit, dispute resolution, and legal defense.

Such records may be used to demonstrate compliance with carrier, registry, or legal requirements.

8. CLIENT / BRAND RESPONSIBILITY (WHERE APPLICABLE)

If messages are sent on behalf of a business client of KLYR MEDIA:

• That client is the "Brand" for A2P purposes;
• The Brand is solely responsible for the content, legality, and compliance of its messaging campaigns;
• The Brand represents and warrants that it has obtained all legally required consents from recipients.

KLYR MEDIA acts solely as a messaging facilitator and disclaims responsibility for Brand noncompliance.

9. PRIVACY AND DATA USE

Personal information collected in connection with messaging is processed in accordance with KLYR MEDIA's Privacy Policy.

Information may be shared with:

• Messaging and telecommunications providers;
• Platform providers (e.g., CRM and automation systems);
• Compliance, audit, and regulatory service providers.

10. REVOCATION AND MODIFICATION

You may revoke consent at any time by opting out as described above.

KLYR MEDIA may update this Agreement from time to time to reflect changes in law, carrier requirements, or industry standards. Continued participation after updates constitutes acceptance.

11. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of laws principles.
